When and Where

Chapter meetings are typically held on the third Wednesday of the month at the Holiday Inn Conference Center at 50 Kenny Place, Saddlebrook, NJ,  07663-5916. Conveniently located in northern New Jersey, at the intersection of Route 80 and the Garden State Parkway (exit 159), the Inn is located in the heart of a corporate and retail district, just a short drive from Manhattan and the Meadowlands area. The telephone number is 201-843-0600.

The January chapter meeting will be held on Wednesday, January 21, 2004 at the Holiday Inn Conference Center. This will be a joint meeting with New York City Chapter 30 and the NJ Chapter. The Board Meeting is at 4:30 p.m.  Joint Cocktails at Krystal's off the lobby start at 5:45 p.m. with dinner in the 12th Floor Observatory at 6:15 p.m.

Business Valuations, Contract and the Art of the Deal      

Mr. Chapman will first address the question of business valuation based upon the simple question, “Who wants to know and why ?” Does the issue arise in the context of a buy-sell agreement among the owners? An anticipated fight with the IRS or a spouse? A contemplated sale of the business?

 With respect to a sale, Mr. Chapman’s presentation will address, among other matters, common misconceptions of a seller in the search for relevant hard information about the value of the seller’s business, the emphasis often overly placed by a seller on the seller’s “needs” and “wants” and failure to make a realistic assessment of the reasons for possible buyers’ interest and what price would make sense for a strategic buyer, an investor buyer, or a new owner-operator buyer.
